Terms and Conditions

By subscribing to and using our web hosting and website design services (“the Services”), you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully. If you do not agree to these Terms, you may not use the Services.

1. Service Description

Pacetti Technologies LLC provides web hosting services, including server space, bandwidth, and related resources, to enable customers to host their websites. We also offer website design services, which may include custom website design, template-based design, or a combination of both, as specified in your selected plan or agreement.

2. Subscription Terms for Web Hosting

  • Subscription Plans: Subscriptions are available on a monthly or annual basis. Features and pricing are outlined on our website.
  • Payment: Payment is due in advance at the start of each billing cycle via credit card, PayPal, or other specified methods.
  • Automatic Renewal: Subscriptions renew automatically unless cancelled with 30 days’ written notice.
  • Cancellation: Cancellations take effect at the end of the current billing period; no refunds are issued for partial periods.
  • Price Changes: We may modify fees with 30 days’ notice, effective the next billing cycle.

3. Website Design Services

  • Scope of Design Services: Our website design services include creating a website based on the specifications in your design package or custom agreement. This may cover custom design, template customization, and integration with the hosting service. Deliverables (e.g., number of pages, features) will be detailed in your agreement.
  • Revisions: You are entitled to 3 rounds of revisions during the design process. Additional revisions may incur extra costs as outlined in your agreement.
  • Timelines: We will provide an estimated completion date. Delays may occur if you do not provide content, feedback, or approvals promptly.
  • Approval: You must review and approve the design. Post-approval changes are treated as additional revisions and may incur fees.

4. Payment Terms for Website Design

  • Design Fees: Design services are billed separately from hosting. Payment terms, outlined in your design agreement, may include:
    • An upfront deposit.
    • Milestone payments tied to project progress.
    • Final payment upon completion and approval.
  • Late Payments: Unpaid design fees may result in suspension of work until payment is received.

5. Ownership and Intellectual Property

  • Design Ownership: Upon full payment, you own the final website design (visual elements and layout).
  • License for Use: If based on a template, you receive a non-exclusive license to use the design; ownership of the template remains with Pacetti Technologies LLC or its licensors.
  • Your Content: You own all content you provide (“Your Content”) and grant us a non-exclusive license to use it for providing the Services. You’re responsible for ensuring Your Content doesn’t infringe third-party rights.
  • Third-Party Elements: Third-party elements (e.g., stock images, plugins) may require separate licenses. You must comply with the licenses for any third-party design elements we disclose.
  • Our Intellectual Property: Our software, trademarks, and design tools remain our property.

6. Integration with Web Hosting

  • Bundled Services: If you use both hosting and design services, the design will be integrated with the hosting platform. A hosting subscription is required to keep the website live.
  • Separate Services: Design and hosting are distinct; terminating one does not automatically end the other unless specified.

7. Acceptable Use

You agree not to use the Services for illegal activities, spamming, or malicious purposes. Violations may result in suspension or termination without refund.

8. Data and Privacy

  • Data Privacy: We process data per our Privacy Policy and won’t share it without consent, except as described in the Privacy Policy or as required by law.
  • Backups: We perform backups, but you should maintain your own; we’re not liable for data loss.

9. Service Level Agreement (SLA) for Web Hosting

  • Uptime Guarantee: We offer 99.9% uptime, excluding maintenance or force majeure.
  • Service Credits: Downtime beyond this may qualify for credits up to 100% of your monthly fee.

10. Website Design Warranty

  • Design Warranty: The design will be free of material defects and meet specifications for 30 days after delivery. We’ll fix defects within this period at no cost.
  • Client Satisfaction: We aim to meet your expectations but don’t guarantee subjective satisfaction. Clear feedback during revisions is your responsibility.

11. Limitation of Liability

  • Disclaimer: Services are “as is” except as stated here.
  • Indirect Damages: We’re not liable for indirect damages (e.g., lost profits) from design services.
  • Cap: Our liability is limited to what you paid in the prior 12 months.

12. Indemnification

You indemnify us against claims from your use of the Services or violations of these Terms.

13. Termination

  • By You: Cancel per your agreement.
  • By Us: We may terminate for violations or non-payment, with unpaid design fees due immediately.

14. Governing Law and Dispute Resolution

  • Governing Law: The laws of the State of Florida apply.
  • Disputes: Resolved via arbitration in the State of Florida.

15. Changes to These Terms

Changes are posted online and effective immediately; continued use means acceptance.
